1. Acceptance of Terms

By accessing or using the Cyclosonics mobile application (“App”) or the cyclosonics.com website (“Website”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree to these Terms, do not use our services.


2. Description of Service

Cyclosonics is a mobile audio synthesis application that connects to eBike and electric motorcycle motor controllers via Bluetooth Low Energy (BLE) to create real-time, throttle-driven sound. The service includes the App, cloud-based preset storage, a community preset library, and this Website (collectively, the “Service”).


3. Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and 18 years old, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent and warrant that you meet these eligibility requirements.

You may need to create an account to access certain features of the Service. You agree to:

We reserve the right to suspend or terminate accounts that contain false information or that are found to be in violation of these Terms.


5. User Content and Preset Library

Ownership

You retain ownership of the presets and sound designs you create using Cyclosonics.

License Grant

All presets saved to the Service are published to the community preset library and are publicly visible to all Cyclosonics users. By saving a preset, you grant Cyclosonics a non-exclusive, worldwide, royalty-free, sublicensable license to display, distribute, and make available that preset to other users of the Service. This license continues until the preset is deleted.

Preset Naming and Metadata

Preset titles, descriptions, and any associated metadata are subject to the Community Standards in Section 6. We reserve the right to rename, hide, or remove any preset whose title or metadata violates these Terms, without prior notice.

Deletion

You may delete your presets at any time from within the App. Deletion removes the preset from the community library, though residual copies may persist briefly in backups consistent with our Privacy Policy.


6. Community Standards

The Cyclosonics community library is a shared space accessible to all users. To maintain a safe and respectful environment, the following standards apply to all presets, preset titles, descriptions, and any other content you contribute to the Service.

We reserve the right, but not the obligation, to review, remove, or disable access to any content that we determine, in our sole discretion, violates these Community Standards or these Terms. Repeated violations may result in account suspension or termination.


7. Reporting Violations

If you encounter a preset or user that you believe violates these Terms or our Community Standards, you may report it using the in-app reporting feature available on any preset detail screen. Reports are reviewed by our team and we will take appropriate action, which may include removal of the content or suspension of the responsible account.

We do not guarantee a specific response time or outcome for every report, but we take all reports seriously. You may also contact us directly at admin@cyclosonics.com to report a concern.

Cyclosonics is designed to be used while operating an electric vehicle. You acknowledge and agree that:

To the fullest extent permitted by law, Cyclosonics expressly disclaims all liability for personal injury, property damage, accidents, or other harm arising from use of the App while operating a vehicle.


10. Bluetooth Connectivity

Cyclosonics connects to your eBike’s or electric motorcycle’s motor controller via Bluetooth Low Energy (BLE). The App reads throttle position and telemetry data by polling the controller — it sends requests for data only, and does not issue motor control commands or modify any settings or parameters on your controller. Cyclosonics is not responsible for any issues arising from Bluetooth connectivity, signal interference, pairing failures, or compatibility with specific hardware configurations.


11. Intellectual Property

The Cyclosonics App, Website, brand, logo, design, and underlying technology are the property of Cyclosonics, Inc. and are protected by applicable copyright, trademark, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or sublicense any part of the Service without our express written permission.

Nothing in these Terms transfers any intellectual property rights to you beyond the limited license to use the Service as described herein.

Third-Party Trademarks

The Cyclosonics App and Website may reference the names, product names, and brand names of third-party manufacturers, including eBike and electric motorcycle brands and motor controller manufacturers, solely to identify compatible hardware. These references are made under the principle of nominative fair use and do not imply any affiliation, sponsorship, endorsement, or partnership between Cyclosonics, Inc. and those companies. All referenced third-party trademarks are the property of their respective owners.


12. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in that policy.


13. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or compatible with all hardware configurations or operating system versions.


14. Limitation of Liability

To the fullest extent permitted by applicable law, Cyclosonics, Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of or inability to use the Service, including but not limited to personal injury, property damage, data loss, loss of profits, or loss of goodwill, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any claims arising under or related to these Terms shall not exceed the greater of (a) the total amount you paid us in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability; in such cases, our liability will be limited to the fullest extent permitted by law.


15. Indemnification

You agree to defend, indemnify, and hold harmless Cyclosonics, Inc. and its officers, directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any applicable law or the rights of any third party.


16. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. You may delete your account at any time from within the App.

Upon termination, your right to use the Service ceases immediately. Sections 5 (license grant for previously shared presets), 11, 13, 14, 15, 17, 18, and 19 shall survive termination.


17. Dispute Resolution and Arbitration

Please read this section carefully — it affects your legal rights.

Informal Resolution

Before initiating any formal dispute, you agree to contact us at admin@cyclosonics.com and give us 30 days to attempt to resolve the matter informally.

Binding Arbitration

If the dispute is not resolved informally, you and Cyclosonics agree that any claim, dispute, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in Delaware, or at another mutually agreed location. The arbitrator’s decision shall be final and binding.

Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. Nothing in this section prevents you from filing a complaint with a relevant consumer protection agency.

Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between us individually. To the fullest extent permitted by law, you waive any right to bring or participate in a class action, class-wide arbitration, or representative proceeding.


18. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Subject to the arbitration agreement above, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware for the resolution of any disputes not subject to arbitration.


19. General Provisions

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Cyclosonics, Inc. with respect to the Service, and supersede all prior agreements, representations, and understandings.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely, including in connection with a merger, acquisition, or sale of assets.


20. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by updating the “Last updated” date at the top of this document, and where appropriate, by providing notice through the App or by email to the address associated with your account. Continued use of the Service after any changes constitutes your acceptance of the updated Terms.
